Acceptance of these Terms
Brc Exchange (the "interface", "we", "us") is a web front end for trading, providing liquidity, bridging, and settling USDC on the Arc network through public, non-custodial smart contracts. These Terms of Service ("Terms") form a binding agreement between you and the operators and contributors of Brc Exchange.
By accessing the interface, connecting a wallet, or signing any transaction initiated through the interface, you confirm that you have read, understood, and agreed to these Terms and to the Risk Disclosure, which is incorporated into these Terms by reference. If you do not agree with any part of them, you must stop using the interface immediately.
If you are using the interface on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
Definitions
- Interface — the website at brc.exchange, including all pages, APIs, and client software served from it.
- Protocol — the public smart contracts the interface interacts with: the swap router, pool factory and pools, the position manager, Circle's Gateway and CCTP contracts, and the USDC Market escrow contracts on Arc and Base.
- BRC — the ERC-20 token traded against USDC in the protocol's pools.
- Relayer — a service we operate that submits the final mint transaction on Arc for bridge transfers and pays its gas. It cannot access user funds.
- Keeper — a service we operate for the USDC Market that reserves offer slices and relays settlement proofs. It cannot move escrowed funds.
- Wallet — your self-custody wallet software and the keys it controls.
- On-chain — recorded on the Arc or Base blockchains, publicly readable and outside our control.
What Brc Exchange is
Brc Exchange is non-custodial software. It reads public blockchain data and presents it as quotes, charts, and balances; it lets you swap through public concentrated-liquidity pools, open and manage liquidity positions, move USDC over Circle's own bridge rails, and trade Arc USDC against Base USDC through a proof-settled order book. Every action that moves value is a transaction you sign yourself, sent from your own wallet to a public smart contract.
The interface is a convenience layer. The same contracts can be used without it, by anyone, from any client. If Brc Exchange goes offline, the contracts and your funds are unaffected.
What Brc Exchange is not
Brc Exchange is not a bank, broker, dealer, securities exchange, money transmitter, money-services business, payment processor, investment adviser, fund, or custodian. It does not:
- hold, manage, safeguard, or control your funds or private keys at any point;
- execute, match, route, or settle trades on your behalf;
- act as counterparty, market maker, or guarantor to any trade;
- issue, underwrite, promote, or distribute any token;
- provide investment, financial, legal, accounting, or tax advice;
- promise any return, liquidity, listing, or outcome.
No fiduciary, advisory, agency, trust, or partnership relationship is created between you and us by your use of the interface.
Network status
Arc is operated by Circle as a private mainnet: the canonical bridge routes in and out of the network are gated to a whitelist, and Circle can change that policy at any time without our involvement. The interface reflects this honestly — the Bridge shows its lanes as off until Circle opens them, and the USDC Market exists precisely because gated exit routes make Arc USDC trade at a premium.
Features may ship in a gated or preview state (the Earn page is an interface preview until its staking contract is deployed). These Terms apply regardless of which state a feature is in.
Eligibility
You may use the interface only if all of the following are true:
- you are of legal age in your jurisdiction and have full legal capacity to enter this agreement;
- you are not located in, resident of, or acting on behalf of a person in a jurisdiction where use of this kind of software is prohibited or restricted;
- you are not subject to any sanctions administered by any government or international authority, and are not acting for a sanctioned person or entity;
- you will not use the interface for money laundering, terrorist financing, fraud, or any other unlawful purpose.
The interface being technically reachable from your location is not a determination that your use is lawful there. Determining that is your responsibility, and we may block access from any location at any time.
Your wallet and your keys
You interact with the interface using your own self-custody wallet. We never ask for, never receive, and could never recover your seed phrase or private keys. There is no password reset, no account recovery, and no support channel that can restore access to a wallet you have lost control of.
You are solely responsible for:
- the security of your keys, seed phrase, device, browser, and extensions;
- verifying the address of every contract or recipient before signing;
- reading and understanding every transaction and signature request your wallet shows you;
- the consequences of any transaction you sign, including ones sent by mistake.
Transactions on public blockchains are final. Once confirmed, they cannot be reversed, cancelled, amended, or refunded by us, by the contract, or by anyone else.
Connecting a wallet
Connecting a wallet grants the interface permission to read your public address and query public on-chain data associated with it. It does not grant permission to move funds — every transfer requires a separate transaction you approve in your wallet. You can disconnect at any time. What is stored when you connect is described in the Privacy Policy.
Swapping and providing liquidity
Swaps execute through public concentrated-liquidity pools. Quotes, price impact, minimum received, and slippage settings shown in the interface are estimates computed against live pool state at the moment you look at them; the result at execution may differ because the pool changes with every block. A transaction may revert — for example if the price moved beyond your slippage tolerance — and gas is still consumed when it does.
Liquidity positions are NFTs minted to your wallet. You choose the price range; inside it your capital earns the pool's trading fees, outside it the position sits idle in a single asset. Concentrated liquidity carries impermanent loss, as described in the Risk Disclosure. We do not manage, rebalance, or advise on positions.
The Bridge
The Bridge moves USDC between Ethereum, Base, Avalanche, and Arc exclusively over Circle's own infrastructure (Gateway and CCTP), so what arrives is canonical USDC. Both rails depend on Circle attesting and enabling the relevant lanes; while a lane is gated, the interface lets you prepare (approvals, deposits) but the transfer itself completes only once Circle enables it. Circle's conduct, timing, and policies are outside our control.
The final mint on Arc is normally submitted by our relayer, which pays the Arc gas in exchange for a flat fee deducted from the bridged amount. The attestation belongs to you: if the relayer is offline, a manual mint path exists and anyone can submit it. The relayer never holds or controls your funds.
The USDC Market
The USDC Market is an order book for Arc USDC against Base USDC, settled by a pair of escrow contracts bound as peers — one on each chain. Release of escrow requires a Wormhole guardian-signed proof of the corresponding payment, and the proof itself names the recipient. Sellers escrow on Arc with a self-serve refund timeout; buyers pay on Base and claim on Arc against the proof.
Our keeper reserves offer slices before payment and relays claims as a convenience. It cannot release, redirect, or withhold escrowed funds — a misbehaving keeper can delay settlement, never take it. A protocol fee is charged on the Base-side payment as displayed before you sign. You remain responsible for evaluating every offer, rate, and counterparty risk before trading.
Earn (interface preview)
The Earn page previews BRC staking. Until its contract is deployed and linked from the page, the figures shown (APRs, caps, pools) are illustrative, the stake action is disabled, and nothing on that page is an offer of yield. When staking goes live, its parameters will be published on the page and on-chain, and these Terms will apply to it.
Fees
Distinct kinds of fee exist. None is refundable once a transaction confirms.
- Pool fee — each swap pays the pool's fee tier (0.01% / 0.05% / 0.3% / 1%), taken from the input token and accruing to that pool's liquidity providers, not to us.
- Bridge fee — a flat per-source amount deducted from Gateway transfers, which funds the relayer's Arc gas. The current amount is shown before you sign.
- Market fee — a percentage of the Base-side payment in the USDC Market, paid by the buyer of Arc USDC and shown before you sign.
- Network gas — paid by you to the blockchain, not to us. Gas is consumed even by transactions that fail or revert.
Fee parameters may change prospectively; terms already fixed in a deployed contract cannot be changed retroactively by us.
No custody, no refunds, no reversals
Because we never hold your funds, we cannot issue, deny, or process refunds, chargebacks, or reversals. All value movement happens on-chain according to the contracts you interact with. Support requests asking us to reverse a trade, recover a mistaken transfer, or release an escrow outside its rules cannot be fulfilled — not as a matter of policy, but because no such ability exists.
Availability, changes, and discontinuation
We may modify, suspend, restrict, or discontinue the interface or any part of it at any time, with or without notice, including for maintenance, security, legal, or resource reasons. We do not guarantee uptime, response time, or continued availability of any page, feature, or API.
Restricting the interface never affects your funds. The contracts remain deployed and usable by any other client or directly from a block explorer.
Acceptable use
- do not use the interface for any unlawful purpose or to carry out fraud;
- do not attempt to gain unauthorised access to the interface, its servers, its relayer or keeper services, or any account;
- do not interfere with the interface through denial-of-service, spam, or mass automated requests;
- do not scrape or place excessive automated load on the APIs to the detriment of other users;
- do not copy, modify, or redistribute the interface in a way that misleads users into thinking it is operated by us;
- do not circumvent any access restriction, geographic block, or rate limit.
Intellectual property
The name, logo, design, and original code of the interface belong to their respective owners and are not licensed to you except as needed to use the interface as intended. Third-party components — including Circle's and Wormhole's public contracts and libraries — remain under their own licences.
Third-party services
The interface relies on services we do not own or control, including your wallet provider, wallet-connection libraries, blockchain RPC providers, Circle's Gateway and CCTP infrastructure and attestation APIs, the Wormhole guardian network, price data sources, block explorers, and hosting infrastructure. Their availability, accuracy, and conduct are outside our control, and their own terms and privacy policies apply to your use of them.

No warranties
The interface is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that:
- the interface will be uninterrupted, timely, secure, or error-free;
- displayed prices, quotes, balances, or statistics are accurate, complete, or current;
- any smart contract — ours, Circle's, Wormhole's, or any pool or token — is free of bugs or vulnerabilities;
- any trade, transfer, or settlement will execute, execute at a particular price, or execute within any period;
- any token will retain value, remain tradeable, or have liquidity at any future time.
Assumption of risk
You acknowledge that you understand the risks described in the Risk Disclosure and that you accept them in full as a condition of using the interface. You are solely responsible for evaluating every transaction before signing, and you accept that you may lose everything you commit.
Limitation of liability
To the maximum extent permitted by applicable law, Brc Exchange, its operators, and its contributors are not liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, nor for any loss of funds, tokens, profits, revenue, goodwill, or data, arising out of or relating to your use of the interface, the protocol, any token, or any third-party service — whether based in contract, tort, strict liability, or any other theory, and even if advised of the possibility of such damages.
Some jurisdictions do not allow certain limitations, in which case the limitations above apply to the fullest extent permitted there.
Indemnification
You agree to indemnify and hold harmless Brc Exchange, its operators, and its contributors from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising from your use of the interface, your breach of these Terms, or your violation of any law or third-party right.
Nothing here is advice
No part of the interface — including charts, statistics, APRs, rates, order books, or any wording used to describe an asset — constitutes financial, investment, legal, accounting, or tax advice, or a recommendation or solicitation to buy or sell anything. Displayed figures are mechanical outputs of on-chain data, not judgements of quality.
Severability and entire agreement
If any provision of these Terms is held unenforceable, the remaining provisions stay in full effect and the unenforceable provision is applied to the maximum extent permitted. Our failure to enforce a provision is not a waiver of it. These Terms, together with the Risk Disclosure and Privacy Policy, are the entire agreement between you and us about the interface.
Changes to these Terms
We may update these Terms at any time. The "last updated" date at the top of this page reflects the current version. Material changes take effect when published. Continuing to use the interface after an update means you accept the revised Terms; if you do not, stop using it.
